J-Pharma Co., Ltd. (Head Office: Minato-ku, Tokyo; President and CEO: Masuhiro Yoshitake; hereinafter “J-Pharma” or the “Company”) has established a Business Operations Department to steadily advance partnerships and related activities for its pipeline programs, including nanvuranlat (development code: JPH203) and JPH034.

J-Pharma has also recruited a professional who has played key roles in global business development and corporate planning at major pharmaceutical and biotechnology companies to head the new department.

■ Background and Purpose
On September 1, 2026, J-Pharma announced its transition to an executive officer structure as its development pipeline advances. The new structure gives each executive defined responsibilities and allows faster decisions based on specialized expertise, supporting J-Pharma from R&D through commercialization.

J-Pharma is exploring potential partnerships and engaging in discussions with companies in Japan and overseas regarding its pipeline programs, including nanvuranlat and JPH034. On September 25, 2026, J-Pharma announced that it had entered into a non-binding term sheet for a license agreement with a European biotechnology company for the global development and commercialization of JPH034.

The new Business Operations Department will provide an organizational framework to advance these partnership initiatives steadily and on an ongoing basis. Under the leadership of J-Pharma’s directors and executive officers, relevant departments will work closely together to evaluate business partnership opportunities and engage in discussions with prospective partners, in line with the development and business strategies for each pipeline program.

■ Role of the Business Operations Department and Appointment of Department Head
The Business Operations Department will be responsible for building relationships with potential partners, evaluating and negotiating partnership terms, and managing collaborations after agreements are reached, with the aim of maximizing the value of J-Pharma’s pipeline programs. The department will consider development structure, cost allocation, business risks, and future revenue opportunities in pursuing partnerships that align with J-Pharma’s business strategy.

The department will be led by a professional who has held key positions in global business development and corporate planning at major pharmaceutical and biotechnology companies. Drawing on this experience and expertise, the department will advance the entire partnership process, from dialogue with partners in Japan and overseas to developing concrete partnership arrangements and supporting subsequent collaboration.

■ Future Outlook
With the new department, J-Pharma will further strengthen its ability to turn progress in its development pipeline into business opportunities. By working with external partners, J-Pharma aims to advance the development and commercialization of its pipeline programs and enhance its corporate value over the medium to long term.

The term sheet for the JPH034 licensing agreement announced on September 25, 2026, is non-binding, except for certain provisions, and does not guarantee that a definitive agreement will be reached. J-Pharma will promptly disclose any further information as required.
